The 411 is a creator marketing agency that develops and manages creator-led campaigns for brands. These terms establish general rules for interacting with our website and services.
Individual campaigns and business relationships may also be governed by separate proposals, contracts, campaign agreements, or statements of work. When a signed agreement contains terms that differ from these general terms, the signed agreement will govern that engagement.
1. Using our website and services
By accessing our website or using services provided by The 411 Agency LLC, you agree to comply with these terms and applicable laws.
You may not use our website or services to engage in fraudulent, abusive, unlawful, or intentionally disruptive activity.
2. What The 411 does
The 411 provides creator marketing services for brands and other organizations.
Depending on the engagement, our work may include:
- Creator sourcing and recruitment.
- Creator selection and onboarding.
- Campaign strategy.
- Creative development and testing.
- Creator management.
- Content review.
- Campaign execution.
- Organic social media distribution.
- Performance analysis and reporting.
- Ongoing campaign optimization.
- Creator marketing consulting.
Not every service listed above is included in every engagement.
Specific deliverables, creator counts, posting requirements, campaign length, platforms, pricing, and other expectations will be established separately for each client engagement.
3. Campaign strategy
Creator marketing involves testing creative ideas across changing social platforms and audiences.
The 411 may adjust creative direction, content formats, hooks, messaging, creator assignments, or other elements of campaign strategy based on performance information and observations throughout a campaign.
Clients agree to provide accurate information about their brand, product, audience, objectives, and any restrictions that may reasonably affect campaign strategy.
4. Performance
The 411 works to develop campaigns designed around a client’s objectives, but organic social media performance cannot be guaranteed.
Algorithms, audience behavior, creator performance, competition, platform policies, timing, market conditions, and other factors outside The 411’s control can affect results.
For this reason, The 411 Agency LLC does not guarantee specific levels of views, reach, engagement, followers, app downloads, sign-ups, conversions, revenue, or other performance metrics unless a specific guarantee is expressly stated in a separate written agreement.
Previous results, examples, testimonials, or case studies are not promises of future performance.
5. Client responsibilities
Clients are expected to provide the information, materials, access, feedback, and approvals reasonably necessary to operate their campaign.
This may include:
- Product or service information.
- Brand guidelines.
- Campaign objectives.
- Required talking points or restrictions.
- Necessary assets or account access.
- Timely feedback and approvals.
- Relevant performance or conversion data when applicable.
Delays caused by missing information, assets, approvals, or client responses may affect campaign timelines.
6. Creator participation
Creators working with The 411 may be subject to additional campaign rules and creator agreements.
Requirements may include posting schedules, deadlines, content formats, platform requirements, disclosure requirements, creative guidelines, communication expectations, and campaign-specific deliverables.
Acceptance into The 411’s creator network does not guarantee paid work or selection for any particular campaign.
Campaign placement may depend on factors such as brand fit, content quality, previous performance, availability, audience, creative style, and the requirements of an individual client.
7. Payments
Pricing and payment terms for client services are established through the applicable proposal, invoice, contract, or statement of work.
Payments must be made according to the agreed schedule.
If payment becomes overdue, The 411 may pause campaign activity, delay the start of services, withhold outstanding deliverables where legally permitted, or take other actions permitted under the applicable agreement.
Creator compensation is determined separately for each campaign and is subject to the requirements established for that campaign.
8. Creator content and usage rights
Rights relating to creator-produced content are determined by the applicable campaign agreement.
A client’s participation in a campaign does not automatically provide unlimited ownership or usage rights to all creator content.
Organic usage, paid advertising rights, raw footage, whitelisting, editing rights, exclusivity, duration of usage, and other licensing terms may differ between campaigns.
Any rights granted to a client should be identified in the applicable agreement.
9. The 411’s intellectual property
The 411 Agency LLC retains ownership of its own intellectual property and proprietary business materials.
This may include our branding, website, strategy materials, campaign frameworks, internal systems, processes, templates, training resources, written materials, methodologies, and other materials developed by The 411.
Working with The 411 does not transfer ownership of these materials unless expressly agreed otherwise in writing.
10. Third-party platforms
Campaigns may operate through platforms that The 411 does not own or control, including TikTok, Instagram, YouTube, and other social or technology platforms.
Those companies may change their algorithms, features, policies, availability, or account enforcement practices at any time.
The 411 is not responsible for platform outages, algorithm changes, account suspensions, content removals, changes to third-party policies, or similar events outside our reasonable control.
11. Communication and campaign management
The 411 acts as the management point between clients and creators for campaigns we operate unless another arrangement has been agreed upon.
Clients and creators are expected to follow the communication procedures established for their campaign.
Attempts to intentionally bypass The 411 in connection with an active engagement may be subject to restrictions contained in the applicable client or creator agreement.
12. Confidential information
During a campaign, The 411, a client, or a creator may receive information that is not publicly available.
Confidential information may include unreleased product information, internal strategy, campaign data, financial information, performance data, account information, business plans, or other non-public materials.
Parties receiving confidential information are expected to use it only for its intended business purpose and to avoid unauthorized disclosure.
Specific confidentiality obligations may also be included in separate agreements.
13. Campaign results and portfolio use
The 411 may document the work and results produced through its campaigns.
Subject to confidentiality obligations and applicable client agreements, we may use campaign information such as publicly available content, brand names, logos, creator content, campaign results, and performance metrics in The 411’s website, portfolio, sales materials, social media, or case studies.
We will not knowingly publish confidential information in violation of an applicable agreement.
14. Suspension or termination
The 411 may suspend or discontinue services when reasonably necessary because of nonpayment, material violations of an agreement, unlawful activity, abusive conduct, misuse of our services, or conduct that could materially harm our business, clients, or creators.
Cancellation procedures, refunds, remaining payments, campaign obligations, and rights following termination are determined by the applicable agreement.
15. Limitation of liability
To the maximum extent permitted by applicable law, The 411 Agency LLC will not be responsible for indirect, incidental, special, consequential, or punitive damages resulting from the use of our website or services.
We are not responsible for losses caused solely by circumstances outside our reasonable control, including third-party platform changes, outages, creator account restrictions, or unpredictable organic content performance.
Nothing in these terms limits liability where doing so would be prohibited by law.
16. Changes to these terms
The 411 Agency LLC may update these terms as our services or business practices change.
The current version will be available through our website. Continued use of our website or services after revised terms become effective constitutes acceptance of those terms where permitted by law.
17. Governing law
These terms and your use of The 411’s services will be governed by the laws of the state identified in the applicable agreement or, when no separate governing-law provision applies, the laws applicable to The 411 Agency LLC.
